1. Scope and General Provisions
1.1. These Terms and Conditions (“Terms”) govern the contractual relationship between BonsaiGrid (“Company”, “we”, “us”, or “our”) and any user, vendor, or customer (“User”, “you”, or “your”) accessing or using our website, services, mobile applications, or platform (collectively, the “Services”).
1.2. By registering an account, purchasing a subscription, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1.3. Any conflicting, additional, or diverging terms provided by the User shall not apply unless explicitly agreed to by the Company in writing.
2. Services and Account Registration
2.1. The Company provides a digital platform for live auctions, vendor listings, and related services as described on our website.
2.2. To access certain features or purchase a subscription, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
2.3. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.
3. Subscription Fees, Billing Cycle, and Stripe Payment Processing
3.1. Payment Processor (Stripe): All payment processing services for the Company are provided by Stripe, Inc. and its affiliates (“Stripe”). By choosing a paid service or subscription, you authorize us to share your payment information with Stripe and authorize Stripe to charge your designated payment method for all applicable fees.
3.2. Recurring Monthly Billing Date:
- Subscriptions are billed on a recurring monthly basis.
- The monthly recurring charge will automatically occur on the exact same calendar day of each month corresponding to the date on which you originally purchased or initiated the subscription (the “Billing Date”).
- Example: If you purchase a subscription on the 15th day of a month, your payment method will automatically be billed on the 15th day of each subsequent month.
- If your initial subscription date occurs on a day not contained in a given month (e.g., the 31st day of a month with fewer than 31 days), your billing date for that specific month will be the last day of that calendar month.
3.3. Payment Authorization & Default: You authorize the Company (via Stripe) to automatically charge your stored payment method for all recurring charges, applicable taxes, and fees until your subscription is explicitly canceled. If a payment attempt fails or is declined, we reserve the right to suspend or terminate your access to the Services until all outstanding balances are settled.
3.4. Price Changes: We reserve the right to adjust subscription pricing. Any price changes will be communicated to you in writing or via email at least 30 days prior to taking effect. Continued use of the Services after the price change takes effect constitutes your acceptance of the new price.
4. Term, Auto-Renewal, and Cancellation (Termination)
4.1. Term & Auto-Renewal: Your subscription begins on the date of initial purchase and automatically renews every month for successive one-month periods unless canceled in accordance with Section 4.2.
4.2. Cancellation Procedure:
- You may cancel your subscription at any time prior to your next recurring Billing Date.
- Cancellation can be executed directly by logging into your account settings on the platform and selecting the “Cancel Subscription” option, or by submitting a clear, written cancellation request to our support team at info@bonsaigrid.com.
4.3. Effective Date of Cancellation:
- Cancellation will take effect at the end of the current, already-paid monthly billing period.
- You will retain access to your subscription benefits through the end of the current billing cycle.
- No pro-rated refunds or partial credits will be issued for unused days remaining in an active billing period following cancellation.
4.4. Termination by Company: We reserve the right to suspend or terminate your account or subscription immediately without prior notice if you breach any material provision of these Terms, fail to pay applicable fees, or engage in fraudulent or illegal activity.
5. Refunds and Right of Withdrawal
5.1. B2B / Vendor Transactions: Unless required by applicable mandatory law, all fees paid for commercial, business, or vendor subscriptions are non-refundable.
5.2. Consumer Right of Withdrawal (where applicable): If you are a consumer residing within the European Union, European Economic Area, or United Kingdom, you have a statutory right to withdraw from a distance contract within 14 days without giving any reason. However, if you expressly request or consent to the immediate performance of the Services during the withdrawal period, you acknowledge that you forfeit your right of withdrawal once the service has been fully performed or initiated.
6. Intellectual Property Rights
6.1. All rights, titles, and interests in and to the Services, including website design, text, software, graphics, trade marks, and underlying infrastructure, remain the exclusive property of the Company or its licensors.
6.2. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely in accordance with these Terms.
7. Limitation of Liability and Warranties
7.1. Service Provision “AS IS”: The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.2. Limitation of Liability: To the maximum extent permitted by applicable international law:
- The Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenues, data, goodwill, or business interruption.
- The Company’s total aggregate liability arising out of or relating to these Terms or the use of the Services shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.
7.3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, intent, gross negligence, or any liability that cannot be excluded under applicable law.
8. Governing Law and Jurisdiction
8.1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the substantive laws of Germany, excluding its conflicts of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
8.2. Jurisdiction: For business users, entities, or persons without a general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract shall be the competent court at the registered seat of the Company.
8.3. Mandatory statutory consumer protection laws of your country of residence shall remain unaffected where applicable.
9. Severability and Modifications
9.1. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.
9.2. Amendments: We reserve the right to modify or update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or via email at least 30 days before the changes become effective. Your continued use of the Services following the effective date of any modifications constitutes your acceptance of the revised Terms.
